Terms of Business for Brigham Associates
Introduction
These Terms of Business ("Terms") govern the relationship between Brigham Associates ("we," "our," "us") and our clients ("you," "your") in relation to the recruitment services we provide. By engaging our services, you agree to be bound by these Terms.
Services
Scope of Services
Brigham Associates provides recruitment services, including but not limited to:

Identifying and sourcing suitable candidates for your vacancies.

Screening and evaluating candidates.

Arranging interviews between you and candidates.

Providing feedback and advisory services related to recruitment.
Fees and Payment
Fee Structure
Our fees for recruitment services are based on a flat fee, unless otherwise agreed in writing. The fee percentage and specific payment terms will be outlined in a separate agreement or schedule provided to you.
Invoicing and Payment Terms

Invoicing: We will issue an invoice upon the candidate’s acceptance of your job offer.

Payment Terms: Payment is due within 7days of the invoice date. Late payments may incur interest at the rate of 1.5% per month.
Additional Costs
You will be responsible for any additional costs incurred in the recruitment process, such as advertising expenses or third-party assessments, provided these are agreed upon in advance.
Candidate Engagement
Candidate Information
We will provide you with accurate and relevant information about candidates to the best of our knowledge. However, we do not guarantee the accuracy, completeness, or suitability of the candidate information provided.
Engagement Process

Interviews: We will coordinate interviews between you and the candidates.

Offers and Acceptance: All offers of employment must be communicated to us. We will assist in facilitating the offer and acceptance process.

Employment Contracts: You are responsible for issuing employment contracts and ensuring compliance with all applicable employment laws and regulations.
Confidentiality
Confidential Information
Both parties agree to keep all confidential information disclosed during the recruitment process strictly confidential and use it solely for the purpose of the recruitment engagement.
Data Protection
We will process personal data in accordance with our Privacy Policy and GDPR Compliance Statement. You agree to comply with all applicable data protection laws when handling candidate information.
Warranties and Liability
We warrant that we will provide our services with reasonable skill and care. However, we do not warrant that a candidate will accept any job offer or remain employed for any specific period.
Limitation of Liability
To the extent permitted by law, our liability for any claim arising out of or in connection with our services shall be limited to the fees paid by you for the specific recruitment service. We shall not be liable for any indirect, consequential, or special damages.
Termination
Termination by Notice
Either party may terminate the engagement by giving 30 days’ written notice to the other party.
Immediate Termination
We may terminate the engagement immediately if you fail to make payments when due or breach any material term of these Terms.
Consequences of Termination
Upon termination, you will be liable to pay for all services rendered up to the termination date, including any expenses incurred.
General Provisions
Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Entire Agreement
These Terms, together with any additional agreements or schedules, constitute the entire agreement between the parties and supersede all prior agreements or understandings.
Amendments
Any amendments to these Terms must be made in writing and signed by both parties.
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver
No waiver of any term or condition of these Terms shall be effective unless made in writing and signed by the party granting the waiver.
